Terms and Conditions

1. Eligibility

You must:

• be at least eighteen (18) years old or the age of majority in your jurisdiction;
• have legal capacity to enter into binding agreements;
• provide accurate and complete registration information; and
• comply with all applicable laws and regulations.

If you are using the Platform on behalf of an organization, employer, institution, educational provider, government body, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Platform services

Sparklane provides career readiness, workforce development, recruitment support, mentorship support, interview preparation, AI-powered assessments, career matching, candidate evaluation, employer tools, analytics, and related technology services.

Platform features may include:

• AI-powered interview preparation;
• work style and personality assessments;
• resume analysis;
• job matching;
• career guidance;
• skills analysis;
• workforce readiness tools;
• mentorship support;
• employer dashboards;
• candidate dashboards;
• event discovery tools;
• learning recommendations;
• AI-generated recommendations;
• scheduling tools;
• notifications;
• analytics and reporting;
• APIs and integrations; and
• other related functionality.

Certain services may be provided directly by Sparklane while others may rely on third-party providers. Sparklane reserves the right to modify, suspend, add, remove, or discontinue any portion of the Platform at any time without liability.

3. Account registration

To access certain portions of the Platform, you may be required to create an account.

You agree to:

• provide accurate, current, and complete information;
• maintain and promptly update your information;
• maintain the confidentiality of your login credentials;
• restrict access to your account; and
• accept responsibility for all activities occurring under your account.

You may not:

• create accounts using false identities;
• impersonate another individual or organization;
• transfer your account without written consent;
• share login credentials; or
• permit unauthorized users to access the Platform.

Sparklane reserves the right to suspend or terminate accounts suspected of fraud, abuse, unauthorized access, or violations of these Terms.

4. Acceptable use

You agree not to:

• use the Platform for unlawful purposes;
• violate any applicable law or regulation;
• upload false, misleading, discriminatory, defamatory, or harmful content;
• infringe intellectual property rights;
• upload malicious software, viruses, or harmful code;
• attempt to gain unauthorized access to systems or accounts;
• interfere with Platform security or operations;
• reverse engineer or copy the Platform;
• scrape or harvest Platform data without authorization;
• exploit vulnerabilities;
• circumvent security measures;
• use automated bots without permission;
• misuse AI-generated outputs;
• use the Platform to discriminate unlawfully;
• manipulate rankings, assessments, or matching systems; or
• use the Platform in a manner that could damage Sparklane’s reputation or systems.

Sparklane may investigate violations and may suspend or terminate access without notice.

5. AI-powered services disclaimer

The Platform may use artificial intelligence, machine learning models, automated scoring systems, predictive systems, and generative AI technologies.

You acknowledge and agree that:

• AI-generated outputs may contain inaccuracies;
• AI-generated recommendations are informational only;
• AI-generated assessments are not guarantees of employment, hiring, performance, or career success;
• AI outputs should not be relied upon as sole decision-making tools;
• human review and judgment remain necessary;
• AI systems may evolve over time;
• recommendations may differ between sessions;
• outputs may be affected by user-provided information;
• Sparklane does not guarantee accuracy, completeness, or reliability of AI-generated content; and
• Platform outputs are provided “as is.”

Employers remain solely responsible for hiring decisions.

Users remain solely responsible for career, educational, employment, and professional decisions.

6. No employment guarantee

Sparklane does not guarantee:

• employment;
• interviews;
• job offers;
• salary outcomes;
• career advancement;
• mentorship opportunities;
• employer engagement;
• successful hiring;
• candidate placement; or
• specific assessment outcomes.

Sparklane is a technology platform and not an employer, staffing agency, recruiter of record, immigration consultant, legal advisor, or educational institution unless expressly stated otherwise.

7. Employer responsibilities

Employers using the Platform agree to:

• comply with employment laws;
• comply with anti-discrimination laws;
• comply with privacy laws;
• use Platform outputs responsibly;
• maintain lawful hiring practices;
• independently verify candidate qualifications;
• avoid unlawful bias or discriminatory conduct; and
• maintain appropriate confidentiality protections.

Employers are solely responsible for:

• hiring decisions;
• employment agreements;
• compensation;
• payroll obligations;
• benefits;
• workplace safety;
• employee classification;
• background checks; and
• legal compliance.

Sparklane does not employ candidates on behalf of employers unless expressly agreed in writing.

8. User content

Users may upload resumes, assessments, profiles, videos, messages, career information, mentorship content, feedback, documents, and other materials (“User Content”).

You retain ownership of your User Content.

By uploading User Content, you grant Sparklane a worldwide, non-exclusive, royalty-free license to:

• host;
• store;
• process;
• display;
• reproduce;
• analyze;
• modify for formatting;
• generate analytics;
• improve Platform services; and
• provide Platform functionality.

You represent and warrant that:

• you own or control the necessary rights;
• your content does not infringe third-party rights;
• your content complies with applicable laws; and
• your content is accurate to the best of your knowledge.

Sparklane reserves the right to remove content that violates these Terms.

9. Privacy

Your use of the Platform is subject to Sparklane’s Privacy Policy.

By using the Platform, you consent to the collection, use, processing, storage, and disclosure of information as described in the Privacy Policy.

Sparklane may collect:

• personal information;
• career information;
• assessment results;
• usage analytics;
• device information;
• IP addresses;
• communications;
• resume information;
• uploaded content; and
• interaction data.

Sparklane may use anonymized and aggregated information for:

• analytics;
• benchmarking;
• system improvements;
• AI training optimization;
• reporting;
• product development; and
• operational purposes.

Sparklane does not sell identifiable personal information.

10. Data security

Sparklane uses commercially reasonable administrative, technical, and organizational safeguards to protect information.

However, no system is completely secure.

You acknowledge that:

• internet transmissions are not fully secure;
• unauthorized access may occur;
• security breaches may happen despite safeguards; and
• Sparklane cannot guarantee absolute security.

Users are responsible for maintaining secure passwords and protecting their own devices and credentials.

11. Payments and subscriptions

Certain Platform services may require payment.

Fees may include:

• subscription fees;
• assessment fees;
• employer access fees;
• implementation fees;
• support fees;
• AI processing fees;
• hosting fees;
• premium feature fees; or
• transaction-related fees.

All fees are:

• stated in Canadian dollars unless otherwise specified;
• non-refundable except as required by law; and
• subject to applicable taxes.

Subscriptions may automatically renew unless cancelled prior to renewal.

Sparklane reserves the right to:

• modify pricing;
• introduce new fees;
• suspend unpaid accounts; or
• terminate services for non-payment.

Users remain responsible for all charges incurred under their accounts.

12. Third-party services

The Platform may integrate with third-party services including:

• AI providers;
• cloud providers;
• communication providers;
• analytics providers;
• scheduling providers;
• payment processors;
• authentication providers;
• video conferencing tools; and
• external APIs.

Sparklane is not responsible for:

• third-party services;
• third-party outages;
• third-party security incidents;
• third-party policies; or
• third-party functionality.

Your use of third-party services may be subject to separate terms.

13. Intellectual property

All Platform rights, including:

• software;
• source code;
• architecture;
• workflows;
• interfaces;
• AI systems;
• models;
• prompts;
• branding;
• graphics;
• content;
• analytics;
• reports;
• algorithms;
• APIs;
• documentation; and
• related technology

remain the exclusive property of Sparklane and its licensors.

No ownership rights are transferred to users.

Users may not:

• copy;
• distribute;
• sublicense;
• reverse engineer;
• modify;
• commercially exploit; or
• create derivative works

without prior written consent.

Sparklane retains all rights not expressly granted.

14. Feedback

If you provide suggestions, ideas, recommendations, or feedback, you grant Sparklane the unrestricted right to use, modify, implement, commercialize, and incorporate such feedback without compensation.

15. Confidentiality

Users agree not to disclose confidential information obtained through the Platform.

Confidential information may include:

• business information;
• candidate information;
• employer information;
• technical systems;
• pricing;
• strategies;
• analytics;
• internal documentation; and
• proprietary workflows.

Confidential information may only be used for authorized purposes.

16. Platform availability

Sparklane does not guarantee uninterrupted access.

The Platform may experience:

• downtime;
• maintenance;
• delays;
• outages;
• AI provider interruptions;
• internet failures;
• cloud provider issues;
• bugs; or
• performance degradation.

Sparklane may perform scheduled or emergency maintenance at any time.

17. Termination

Sparklane may suspend or terminate access immediately if:

• these Terms are violated;
• unlawful activity is suspected;
• fraudulent activity is suspected;
• payment obligations are not met;
• Platform misuse occurs; or
• security concerns arise.

Users may terminate accounts at any time.

Termination does not eliminate outstanding payment obligations.

Sparklane may retain certain records where legally required.

18. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKLANE DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• SECURITY;
• AVAILABILITY; and
• PERFORMANCE.

Sparklane does not guarantee:

• uninterrupted access;
• error-free operation;
• employment outcomes;
• hiring outcomes;
• assessment accuracy;
• compatibility with all devices;
• platform availability; or
• uninterrupted AI functionality.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKLANE SHALL NOT BE LIABLE FOR:

• indirect damages;
• incidental damages;
• consequential damages;
• special damages;
• punitive damages;
• lost profits;
• lost opportunities;
• business interruption;
• data loss;
• employment losses;
• hiring decisions;
• reputational harm;
• emotional distress; or
• third-party conduct.

Sparklane’s total aggregate liability shall not exceed the greater of:

• amounts paid by the user to Sparklane during the preceding twelve (12) months; or
• one hundred Canadian dollars ($100 CAD).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

20. Indemnification

You agree to defend, indemnify, and hold harmless Sparklane and its officers, directors, employees, contractors, affiliates, licensors, and partners from any claims, liabilities, damages, losses, costs, and expenses arising from:

• your use of the Platform;
• your User Content;
• your violation of these Terms;
• your violation of laws;
• your infringement of third-party rights; or
• your misuse of AI-generated outputs.

21. Compliance with laws

Users agree to comply with all applicable:

• employment laws;
• privacy laws;
• anti-discrimination laws;
• accessibility laws;
• intellectual property laws;
• consumer protection laws; and
• export control laws.

22. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes shall be resolved exclusively in the courts located in Ontario, Canada.

23. Dispute resolution

Before commencing formal legal proceedings, the parties agree to attempt good faith negotiations.

Sparklane may elect to require mediation prior to litigation.

Nothing prevents Sparklane from seeking injunctive or equitable relief where necessary.

24. Force majeure

Sparklane shall not be liable for delays or failures resulting from events beyond reasonable control, including:

• natural disasters;
• internet outages;
• cyberattacks;
• labor disputes;
• government actions;
• pandemics;
• power failures;
• cloud provider outages; or
• AI provider interruptions.

25. Changes to Terms

Sparklane may modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Platform constitutes acceptance of revised Terms.

26. Severability

If any provision is deemed unenforceable, remaining provisions shall remain fully enforceable.

27. Assignment

Users may not assign rights or obligations without prior written consent.

Sparklane may assign these Terms as part of a merger, acquisition, restructuring, or asset sale.

28. Entire agreement

These Terms, together with the Privacy Policy and any applicable agreements or SOWs, constitute the entire agreement between the parties.

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS AND CONDITIONS.
